Ambassador Agreement

This agreement sets out the terms between you ("Ambassador", "you") and KVIQVIEW AB, doing business as Dropfans ("Dropfans", "we", "us"). By submitting an application or accepting an invitation to the Dropfans Ambassador Program (the "Program"), you confirm that you have read, understood, and accepted these terms.

1. Program tiers

The Program is offered in two tiers. Acceptance into either tier is at Dropfans's sole discretion and is granted on merit, considering audience size, audience fit, conduct, and platform alignment.

Tier 1 — Ambassador. Open to application. Approved applicants earn the Tier 1 commission described in section 2.

Tier 2 — Founding Ambassador. By invitation only. Founding Ambassadors earn the higher Tier 2 benefits described in section 2 and accept the additional ongoing commitments described in section 5.

2. Compensation

Tier 1 commission. For each Recruited Creator, Dropfans will pay you a referral commission equal to 5% of that Recruited Creator's gross marketplace revenue (GMV), measured for a period of six (6) months from the date the Recruited Creator's account is approved. After six months, no further commission is payable for that Recruited Creator under Tier 1.

Tier 2 commission. While you remain in good standing as a Founding Ambassador, Dropfans will pay you a referral commission equal to 5% of each Recruited Creator's GMV with no six-month cap.

Tier 2 personal-sale benefit. While in good standing as a Founding Ambassador, your personal Dropfans creator account is charged a reduced seller fee of 12% per transaction, in place of the standard 15% seller fee. The 10% buyer-side checkout fee that applies to all Dropfans transactions is not affected.

A "Recruited Creator" is a Dropfans creator account that signs up using your unique referral link or attribution code, and is approved by Dropfans, while you are an active Ambassador.

3. Payment schedule and holding period

Commissions accrue continuously and are paid monthly in arrears.

To comply with payment-processor requirements and standard chargeback exposure windows, all funds (creator earnings and ambassador commissions alike) are subject to a holding period of approximately six (6) months from the date of the underlying transaction. In practice, this means the first ambassador commission payout for a newly Recruited Creator is typically issued six to seven months after that creator's first sale.

Payouts are sent to the bank account or crypto wallet you nominate in your account. Currencies, methods, and minimum thresholds match the standard creator payout terms.

4. Required conduct (all Ambassadors)

While participating in the Program you must:

- Operate the personal accounts you list in your application; you may not transfer or sell your Ambassador status. - Disclose your relationship with Dropfans where required by law (e.g. paid-partnership tags on platforms that mandate them). - Use only marketing materials we provide or that you create yourself; never impersonate Dropfans staff or other ambassadors. - Refrain from making unauthorized claims about earnings, guarantees, or features that do not exist. - Refrain from spam, mass DMs without consent, paid-bot promotion, or any platform policy violation that could expose Dropfans to brand or legal risk. - Treat fellow ambassadors and creators respectfully in any private Dropfans channel.

5. Required activity (Tier 2 / Founding Ambassadors)

Founding Ambassadors must additionally:

- Publish at least four (4) posts per calendar month tagging or linking to Dropfans on a platform where you have an audience over 10,000 followers. - Respond to ad-hoc content requests from Dropfans (for example, a testimonial video or a feature highlight) within fourteen (14) days, up to a maximum of one request per calendar month. - Attend a quarterly Founding Ambassador check-in call. - Maintain the conduct standards in section 4.

Failing to meet these requirements in two consecutive calendar months may, at Dropfans's sole discretion, result in demotion to Tier 1 or removal from the Program (see section 7).

6. Prohibited conduct

You agree not to:

- Promote Dropfans on platforms or to audiences that are demonstrably under the age of majority. - Run paid advertising on Dropfans's name, trademarks, or domains (for example, search ads on the keyword "Dropfans") without prior written consent. - Misrepresent the platform's terms (for example, claim subscriptions exist when they do not, or claim guaranteed payouts). - Self-refer (signing up additional creator accounts under your own ambassador link). - Encourage, facilitate, or fail to report fraud, identity-document forgery, or any violation of Dropfans's content rules.

Engaging in any prohibited conduct is grounds for immediate removal from the Program and forfeiture of unpaid commissions related to the offending conduct.

7. Removal and earned commissions

Dropfans may remove you from the Program at any time, with or without cause, by written notice (email is sufficient).

If you are removed for any reason other than prohibited conduct under section 6:

- All commissions earned through the date of removal will be paid out on schedule, including the remainder of any active six-month Tier 1 commission window for previously Recruited Creators. - For Tier 2 ambassadors who are removed (or demoted to Tier 1) without cause, your existing Recruited Creators continue to earn you the 5% commission for the remainder of their first six (6) months from signup, after which the share ends. The reduced 12% seller fee on your personal sales ends on the effective date of removal, and your account reverts to the standard 15% seller fee.

If you are removed for prohibited conduct under section 6, unpaid commissions related to the offending conduct may be forfeited, and Dropfans reserves all rights to recover any commissions or fees paid in connection with that conduct.

You may exit the Program at any time by giving us written notice. Earned-but-unpaid commissions will be paid out on the standard schedule, subject to the holding period in section 3.

8. Intellectual property

You retain all rights to content you create.

You grant Dropfans a non-exclusive, royalty-free license to repost, excerpt, and use your Dropfans-related promotional content on Dropfans's own marketing channels for the duration of your Ambassador status and for twelve (12) months after.

"Dropfans", the bird mascot, and our trademarks remain our property. We grant you a limited, revocable license to use them in promotional content while you are an active Ambassador.

9. Independent contractor relationship

You are an independent contractor, not an employee, partner, or agent of Dropfans. You are responsible for your own taxes, social charges, and any business registrations required in your country. Dropfans will issue tax forms (or local equivalents) where required by law.

10. Confidentiality

Information shared with you in your capacity as an Ambassador (private roadmap, unannounced features, internal metrics, content requests, payout structures of other ambassadors) is confidential. You agree not to share it publicly without our written consent.

11. Changes to this agreement

We may update this agreement from time to time. Material changes will be communicated by email at least fourteen (14) days before they take effect. Continued participation in the Program after the effective date constitutes acceptance of the updated terms.

12. Governing law

This agreement is governed by the laws of Sweden. Disputes will be resolved by the competent courts of Gothenburg, Sweden.

13. Acknowledgement

By submitting an application or accepting an invitation, you confirm that you have read, understood, and accepted this Agreement, and that the information you provided in your application is true and accurate to the best of your knowledge.
